Terms of Service
Thank you for choosing Premium eSIM. Before starting, please read these Terms of Service (“Terms”) carefully. The Terms cover your use of and access to (i) our software and mobile application ("Software"), our website premiumesim.com (“Website”), and (ii) the eSIM data service plans (“Data Plans”) based on eSIM technology and other related services (collectively, the “Services”) provided by Henry LLC.
Please note that the Terms constitute a binding legal agreement between you (“you” or “user”) and Henry LLC. ("Premium eSIM", "we," "us," or "our"). You agree and accept to be bound by these Terms by either: (i) creating a user account (“Account”); (ii) downloading our Software or accessing/using our Services and Website; or (iii) otherwise electronically agreeing to be bound by these Terms.
IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS OR ANY PROVISIONS HEREOF, PLEASE DO NOT ACCESS AND USE OUR WEBSITE, SOFTWARE, AND/OR SERVICES.
We may need to update these Terms from time to time to comply with the law, add new features, or for other valid reasons. We will notify you of any material changes that affect your rights. Your continued use of the Services after updates are posted will be deemed acceptance thereof.
1. THE SERVICES
a. Service Provision: We shall provide you with an eSIM with Data Plans based on the capabilities of the supplied eSIM. The eSIM includes an electronic profile that will be downloaded to your device as part of activating the Services. The volume of data and the period of service available will be made clear to you during the process of purchasing a Data Plan. When the mentioned period expires, any remaining data will be forfeited, and no refund will be payable for unused Services.
b. Eligibility: You affirm that you are at least eighteen (18) years of age and have the full right and power to enter into and comply with these Terms.
c. Privacy: For information about how we collect and process your personal data, please read our Privacy Policy, available at premiumesim.com/legal/privacy-policy.

**2. YOUR ACCOUNT AND RESPONSIBILITIES**
a. Account Creation: To use our Services, you must set up an Account by providing accurate and complete information, such as your name and email address. You are solely responsible for all activities that occur under your Account.
b. Account Security: You are responsible for maintaining the confidentiality of your Account and its password. You agree to immediately notify us at team@premiumesim.com of any unauthorized use of your Account.
c. Your Obligations: You agree to use the Services in accordance with these Terms. You are responsible for configuring your device to properly use the Services. You must not use the Services for any fraudulent, unlawful, or abusive purpose.
d. Device Compatibility: Before purchasing our Services, you must ensure you have an unlocked, eSIM-compatible device. We provide a list of compatible devices on our Website, but it is your responsibility to verify.
e. Lost or Stolen Device: If your device with an activated eSIM is lost or stolen, you must inform us promptly at team@premiumesim.com. You remain responsible for all Service usage until you notify us.
**3. SERVICE PURCHASE, ACTIVATION, AND PAYMENTS**
a. Purchasing Services: You can purchase Data Plans on our Website or through our Software. The charges for Data Plans will be disclosed to you before your purchase. By completing the purchase, you agree to these charges.
b. Payments: Services are provided on a pre-purchase basis. You agree to pay us for any paid Services you purchase, including all applicable taxes and fees. You must provide a current and valid method of payment.
c. Activation: To activate the Services, you must download the eSIM and activate the associated Data Plan. Both steps require a stable internet connection. Charges apply upon the purchase of a Data Plan.

**5. DISCLAIMER OF WARRANTIES**
THE SERVICES AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE NETWORK COVERAGE, QUALITY, OR AVAILABILITY. YOU ASSUME ALL RISK AND RESPONSIBILITY FOR YOUR USE OF THE SERVICES.

**4. TERMINATION**
a. By Us: We reserve the right to terminate your Account and discontinue Services if you are in material breach of these Terms. No refunds will be issued in such cases.
b. By You: You can terminate the Services at any time by contacting us at team@premiumesim.com. Termination does not entitle you to a refund for any unused portion of your Data Plan unless we can no longer provide the service for reasons not attributable to you.
**6. LIMITATION OF LIABILITIES**
YOUR USE OF THE SERVICES AND WEBSITE IS AT YOUR OWN RISK. NEITHER HENRY LLC., NOR ANY OF ITS AFFILIATES OR EMPLOYEES, SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS OR THE USE OF THE SERVICES. IN ANY CASE, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
**7. INDEMNIFICATION**
You agree to indemnify, defend, and hold harmless Henry LLC. and its affiliates from and against any judgments, losses, damages, and expenses arising out of your breach of these Terms or your use of the Services.
**8. GOVERNING LAW AND DISPUTE RESOLUTION**
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute arising from these Terms shall be resolved in the courts of the State of Delaware. Before filing a formal claim, please attempt to resolve the dispute informally by contacting us at team@premiumesim.com.
**9. MISCELLANEOUS**
a. Entire Agreement: These Terms constitute the entire agreement between you and Henry LLC. regarding your use of our Services.
b. Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
c. Prevailing Language: The English language version of these Terms shall be the original, governing instrument.

3d. Refund Policy
- -Non-Activated Data Plans: If an eSIM has not been installed or the associated Data Plan has not been activated, you may request a full refund.
- -Activated Data Plans: Once a Data Plan is activated, it is considered used, and a full refund cannot be guaranteed. However, we may consider a partial or full refund at our discretion if there are service quality issues attributable to us or if the data remains almost entirely unused.
- -Refund Requests: All refund requests should be made within 30 days of the purchase date by contacting us at team@premiumesim.com.
